Website Terms and Conditions

These Website Terms and Conditions (the “Website Terms”) govern access to and use of sabaiafterhours.com, related account features, and other online services operated under the Sabai After Hours name (the “Website”). In these Website Terms, “we”, “us”, “our”, and “Supplier” mean Sabai After Hours, a sole proprietorship registered in Thailand and operated by Sasiprapa Yoonoo.

The Website is intended for businesses purchasing products for resale or legitimate commercial use. It is not a consumer retail service. Nothing in these Website Terms excludes a right or remedy that cannot lawfully be excluded.

By creating an account, ticking an acceptance box, placing an order, or otherwise using an account-based service, you agree to these Website Terms. If you act for a company or other organization, you confirm that you have authority to bind it.

Every B2B purchase is also governed by the Reseller Terms, the B2B Returns, Claims & Refunds Policy (the “Returns Policy”), and the order confirmation. Those documents form one agreement for the relevant order.

Where provisions address the same subject and conflict, the more specific document controls that subject: an agreed order-specific term controls that order; the Returns Policy controls eligible claims and remedies; the Reseller Terms control B2B purchasing and resale; and these Website Terms control use of the Website and accounts.

You must be at least 18 years old, legally capable of contracting, and purchasing for resale or legitimate business use. We may request reasonable information to verify your identity, authority, business, intended market, or eligibility.

You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for activity conducted through your account. Notify us promptly at hello@sabaiafterhours.com if you suspect unauthorized access.

We may reject a registration, restrict access, require verification, or suspend an account where reasonably necessary for security, fraud prevention, legal compliance, policy enforcement, or protection of the Website and its users.

You may use the Website only for lawful business purposes and in accordance with these Website Terms. You must not:

• gain or attempt to gain unauthorized access to accounts, systems, or data;
• introduce malicious code, interfere with the service’s operation, or evade security or rate limits;
• scrape, copy, or harvest content or data at a volume or in a manner that harms the Website or violates law;
• impersonate another person or business, submit false information, or use the Website for fraud;
• use Website content or services in a way that infringes intellectual-property, privacy, or other rights; or
• use the Website or Products for any unlawful activity.

We aim to present product descriptions, images, packaging, availability, pricing, and other Website information accurately. Manufacturer packaging, colours, labelling, formulation, or other details may change. The confirmed order details and any express written product specifications control over general Website content.

Product content is provided for business purchasing information and is not medical, pharmaceutical, regulatory, or professional advice. Resellers must independently review ingredients, instructions, warnings, destination-market requirements, and suitability for their intended customers and sales channels.

The Website, its design, software, text, graphics, photography, Sabai After Hours branding, and compilations are owned by or licensed to us and are protected by applicable intellectual-property laws. Third-party product names and marks remain the property of their respective owners.

Except for the limited resale-marketing permission expressly provided in the Reseller Terms, no right or licence is granted to copy, modify, republish, distribute, sell, reverse engineer, or commercially exploit Website content without prior written permission or a right granted by law.

Our Privacy Policy explains how we collect, use, retain, and disclose personal data in line with applicable law, including the Thai Personal Data Protection Act and the equivalent data-protection laws of the markets we serve. The Privacy Policy is a notice about data handling and is not replaced by these Website Terms.

You agree that account, order, legal, and service communications may be sent electronically to the email address or account contact you provide. You are responsible for maintaining an address that can receive those communications. Marketing communications remain subject to applicable consent and opt-out rules.

The Website may rely on payment providers, hosting providers, carriers, analytics services, or other third parties. We may change, suspend, or discontinue Website features for maintenance, security, legal, operational, or commercial reasons.

Links to third-party sites are provided for convenience and do not make us responsible for their content, availability, security, or practices. Separate third-party terms may apply.

To the maximum extent permitted by law, the Website is provided on an “as available” basis. We do not guarantee uninterrupted or error-free access, or that all information will always be current. This clause concerns the Website; warranties, claims, and remedies relating to Products are addressed in the Reseller Terms and the Returns Policy.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential loss arising solely from Website interruption, unauthorized third-party access despite reasonable safeguards, or reliance on general Website content. Nothing excludes liability that cannot lawfully be excluded or limited.

You may stop using the Website at any time. We may suspend or terminate access where reasonably necessary because of a material breach, fraud, security risk, unlawful activity, non-payment, sanctions or trade restrictions, or risk to other users or our operations.

Terminating Website access does not cancel accrued payment obligations, existing rights, confidentiality duties, intellectual-property restrictions, or provisions intended to survive. The treatment of outstanding orders is governed by the Reseller Terms and the relevant order status.

We may update these Website Terms to reflect legal, security, operational, or service changes. Each published version displays a version identifier and effective date. A revised version applies on a forward-looking basis from its stated effective date and will not replace the version snapshotted for an earlier order.

Where we make a material change, we may provide notice through the Website, the account, or the registered email address, and require renewed acknowledgment before further orders.

These Website Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-law rules, unless mandatory law requires otherwise.

The parties should first attempt in good faith to resolve a dispute through written notice and discussion for thirty (30) days. A dispute not resolved within that period will be finally settled by arbitration seated in Bangkok, Thailand, administered under the rules of the Thai Arbitration Institute, in the English language, consistent with the dispute-resolution clause in the Reseller Terms.

If any provision is unenforceable, it will be limited or removed only as far as necessary, and the remaining provisions will continue. A delay in enforcement is not a waiver. You may not assign your account or rights without our written consent; we may assign these Website Terms as part of a business transfer or reorganization, subject to applicable law.
